Client Agreement

(Cater Source Network – Procurement & Supplier Liaison Authority)

This Client Agreement (“Agreement”) is made between:

Cater Source Network Ltd (“CSN”), and
[Client Name] (“Client”).
Together, the “Parties”.

1. Purpose of Agreement

1.1 CSN provides procurement support, supplier engagement, tender management, and commercial facilitation services to the Client.

1.2 This Agreement sets out the terms under which CSN is authorised to act on the Client’s behalf when engaging with suppliers.

2. Authority to Engage Suppliers

2.1 The Client authorises CSN to communicate with, liaise with, and negotiate with suppliers on the Client’s behalf, including incumbent suppliers currently providing goods or services to the Client.

2.2 This authority includes:

• Requesting pricing, proposals, and commercial information
• Conducting tender processes
• Managing supplier queries
• Facilitating contract discussions
• Communicating performance feedback

2.3 CSN will act in the Client’s best commercial interests and will keep the Client informed of material developments.

3. Tendering and Supplier Management

3.1 The Client agrees that all suppliers participating in tenders, pricing exercises, or commercial reviews facilitated by CSN will engage directly with CSN for the duration of the process.

3.2 The Client may continue to communicate operational matters directly with suppliers, but all commercial, pricing, or contract‑related discussions should be routed through CSN.

3.3 CSN may communicate with incumbent suppliers to review pricing, performance, or commercial terms as part of its procurement role.

4. No Fees Payable by the Client

4.1 CSN does not charge the Client for its procurement or supplier‑management services.

4.2 Any commercial arrangements between CSN and suppliers are separate and do not affect the Client’s pricing or contractual terms.

5. Confidentiality

5.1 CSN will treat all Client information as confidential and will not disclose it to suppliers except where necessary to carry out the procurement or tendering process.

5.2 The Client agrees not to disclose any commercial arrangements between CSN and suppliers.

6. Term and Termination

6.1 This Agreement begins on the date the Client accepts it and continues until terminated by either Party with 30 days’ written notice.

6.2 Termination cannot be exercised by the Client if the Client has entered into any agreement, award, supply arrangement, or commercial relationship with a supplier that results from a procurement exercise, tender, pricing review, or introduction facilitated by CSN. Termination may only occur once all such arrangements have fully concluded and no ongoing spend or supply relationship remains.

6.3 Termination does not affect any tender, pricing exercise, or supplier negotiation already in progress.

7. Governing Law

7.1 This Agreement is governed by and interpreted in accordance with the laws of England and Wales.

8. Acceptance

By engaging CSN for procurement support or by submitting any tender request through the CSN portal, the Client confirms acceptance of this Agreement.
